XPS Group agrees to acquire UK actuarial consultancy APR Actuarial Solutions for up to £16.3m
XPS Group, the UK pensions and insurance consulting and administration business, has agreed to acquire the trade and assets of APR Actuarial Solutions (formally Austin Professional Resourcing LLP) for an initial cash consideration of £3.3 million, with a further £3 million payable by March 2027 and up to a further £10 million in contingent consideration payable in years two and three subject to business performance criteria, taking the total consideration to up to £16.3 million. APR, established in 2006, has worked with over 45 insurers and financial sector clients in the last three years, including most of the UK's top 10 insurers, and holds a client Net Promoter Score of +70. Combined with XPS's existing insurance consulting team, the enlarged group is expected to provide greater scale across the insurance consulting market. XPS Co-CEO Paul Cuff said the transaction would double XPS's total addressable market to more than £6 billion in less than two years, achieved through a combination of strategic acquisitions and senior recruitment. The deal reflects a broader consolidation trend among specialist professional services consultancies serving the UK insurance sector, where scale increasingly matters for winning mandates from major institutional clients.
