CMA Delivers Report to Secretary of State on BT's Completed Acquisition of TalkTalk After Public Interest Intervention
The Competition and Markets Authority (CMA) delivered its Phase 1 report to the Secretary of State for Digital, Culture, Media and Sport on 19 October 2026, meeting the statutory deadline set when the public interest intervention notice (PIIN) was issued on 5 October 2026. The PIIN was issued by Secretary of State Lisa Nandy on the grounds of public health emergency and a proposed new public interest ground covering disruption to public services, critical national infrastructure, and supply to vulnerable customers. The transaction under scrutiny is British Telecommunications Limited's completed acquisition of TalkTalk Telecommunications Limited and PlatformX Communications Limited. Because the acquisition was already completed before regulatory review, the CMA served a pre-emptive action order on 6 October 2026 under Schedule 7 of the Enterprise Act 2002 to prevent further integration pending the outcome. The CMA's report covers whether a relevant merger situation has been created under the merger provisions of the Act, whether that situation has resulted in or may be expected to result in a substantial lessening of competition in any UK market for goods or services, and advice on the considerations relevant to whether the Secretary of State should refer the matter to a Phase 2 assessment. The Secretary of State, not the CMA, now decides whether to clear the deal, impose conditions, or refer it to a deeper Phase 2 inquiry. The intervention introduces a two-track test: competition concerns and the specified public interest grounds must both be weighed before any decision.
