Anthropic Plans to Commit 5% of Shares to Public Benefit Fund Ahead of Potential $1 Trillion IPO
Anthropic, the maker of the Claude AI assistant, announced on Sunday 19 October 2026 that it plans to commit 5% of its shares to a newly created public benefit fund, subject to stockholder approval. The fund would be structured as a wholly owned limited liability company and could receive an additional 2% of Anthropic's shares at the board's discretion for every 50% increase in the company's value above a baseline yet to be disclosed. Taken together with existing share commitments to public purposes, roughly 20% of Anthropic's shares would be dedicated to public benefit goals, excluding any further shares triggered by future valuation milestones. The fund could support nonprofit donations, direct distributions to specific populations, and efforts to address the impact of AI on workers. Anthropic confirmed that none of the equity held by the fund would be used for lobbying or political contributions in the US or abroad. Anthropicis planning what could be one of the largest IPOs (initial public offerings) in history, structured as a public benefit corporation, a legal form that requires management to weigh broader societal interests alongside shareholder returns. Its most recent IPO prospectus reportedly warned that its AI models could exhibit self-preserving behaviours and flagged catastrophic or existential risks to humanity. Last week, Anthropic told prospective investors that its revenue surged 45% to $16.8bn in the three months to the end of September 2026. Elon Musk commented on the announcement on social media, suggesting the shares be given directly to the public.
